September 12, 2006 (Temecula, CA/Franklin, TN): PlantCML, North America’s leader in mission-critical communications systems for emergency contact centers announced today the signing of a definitive agreement to acquire Dialogic Communications Corporation, the largest provider of emergency notification technology. The planned acquisition adds another high-demand element to PlantCML’s portfolio of communications products, further solidifying its position as the country’s leading vendor of emergency response management solutions. The transaction will be funded by Golden Gate Capital, a San Francisco-based private equity firm with $2.8 billion of capital under management. PlantCML is a portfolio company of Golden Gate Capital.

The acquisition will open mature channels of distribution for Dialogic’s notification solutions, while providing a platform for PlantCML to offer additional on-premise or hosted services to its existing clients. It also provides PlantCML a strong entry point into the commercial private safety market given Dialogic’s admirable list of corporate business continuity customers. Additionally, each company holds a strong, complementary presence that can be further leveraged in the Federal market space. Dialogic will keep its corporate name, becoming a wholly owned subsidiary of PlantCML. The transaction is scheduled to close within thirty days. Financial terms of the deal were not disclosed.
